Agreement
This End-User License Agreement (the “Agreement”) governs use of NIWO Genius (the “Application”), a private internal software system developed and operated by NIWO Partners, Inc. (“NIWO”). By authorizing, installing, accessing, or using the Application, you agree to this Agreement.
1. License grant
NIWO grants its authorized personnel a limited, non-exclusive, non-transferable, revocable license to use the Application solely for NIWO’s internal business operations. The Application is not licensed, sold, or otherwise made available to the general public or to third parties.
2. Permitted use
The Application may be used only to retrieve and analyze data from QuickBooks Online company files owned and controlled by NIWO, including for reconciliation, cost analysis, and internal financial reporting.
3. Restrictions
You may not distribute, sublicense, sell, lease, or transfer the Application or access to it; use it to access a QuickBooks company file not owned or controlled by NIWO; reverse engineer, decompile, or disassemble it except where applicable law expressly permits; or use it in a way that violates applicable law or Intuit developer terms.
4. Access scope
The Application requests only the com.intuit.quickbooks.accounting scope and performs read operations only. It is not designed to create, modify, void, or delete QuickBooks Online records, and it does not request payroll, payment-processing, or lending scopes.
5. Data handling
Data accessed through the Application is handled under the accompanying Privacy Policy, which forms part of this Agreement. Authorized connection and revocation instructions are published at Integration Information and Disconnect.
6. Intellectual property
The Application, including its source code and documentation, remains the property of NIWO Partners, Inc. No rights are granted beyond the limited license stated in this Agreement. QuickBooks and Intuit are trademarks of Intuit Inc., used here solely for identification.
7. Third-party services
The Application depends on the Intuit QuickBooks Online API. NIWO does not control that service and is not responsible for its availability, accuracy, or changes. Use of Intuit services is also subject to Intuit’s applicable terms.
8. Disclaimer of warranties
The Application is provided “as is” and “as available,” without warranty of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. NIWO does not warrant that the Application will be uninterrupted, error-free, complete, or accurate for any particular purpose.
9. Limitation of liability
To the maximum extent permitted by applicable law, NIWO will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business arising from or relating to the Application.
10. Term and termination
This Agreement remains effective until terminated. NIWO may terminate or suspend the license at any time. Access may also be revoked by disconnecting the Application from the applicable QuickBooks Online company file. Sections concerning intellectual property, warranties, and liability survive termination.
11. Governing law
This Agreement is governed by the laws of the State of New Jersey, United States, without regard to conflict-of-laws rules.
